By-laws of the Maryland Ale & Lager Technicians LTD.
Article I
The name of this corporation shall be the Maryland Ale & Lager
Technicians (M.A.L.T.)
Article II
The purpose of the corporation shall be to promote the art of
Homebrewing by enhancing the skills, knowledge and enjoyment of
the individual homebrewer(s) by creating an environment conducive
to the development of hand-crafted beverages.
Article III
1. Membership in M.A.L.T. shall be open to all
individuals who have reached their 21st birthday.
2. Membership will include a predetermined annual fee and
be renewable on an annual basis in January.
3. Individuals joining during October, November
or December will be given membership for the
rest of the calendar year and the entire next
calendar year.
4. The annual membership fee will be determined
by the elected officers/directors on a yearly
basis.
5. Each member has one vote in all matters
presented to the general membership at the
monthly meeting(s).
6. A member has the right to hold elected office
within the corporation.
7. Membership must be renewed each January to
continue individual's membership. Non-payment
of annual January dues will automatically
terminate MALT membership and associated
club benefits at the end of each January
renewal period.
8. The executive directors, by majority vote, are
obligated to terminate any individual's
membership that has or is being detrimental to
the general purposes of MALT Inc. as outlined
in Article II.
Article IV
M.A.L.T. will be governed by the following officers & directors
and these individuals will hold positions both as an officer and as
a board director:
1. President
2. Vice President
3. Treasurer
4. Secretary
5. Editor of the MALT Mill publication
6. Communications Director - Appointed not an elected officer
The duties of these officers/directors are listed as follows:
1. President - Shall preside at all meetings,
appoint committees, sign or seal for the club
when necessary, call special meetings at his
pleasure and must do so when requested in
writing by 20% of the active members.
2. Vice President - Shall assist the president in
the discharge of his duties and shall act as
president when the President is absent.
3. Secretary - Shall maintain a true copy of all
annual meetings and bi-monthly directors
meetings. Maintain a membership listing and
all club records.
4. Treasurer - Shall collect, disburse and have
custody of all club funds as directed by the
Board. Maintain an accurate and complete
record of all transactions and make those
records available to any member upon request
and to audits asked for by the Board of
Directors.
5. Editor - Shall receive and develop articles
appropriate to the interest and purpose of the
club and publish said articles in the club's
newsletter. Newsletters will contain upcoming
events and shall be maintained as a permanent
record by the editor.
6. Communications Director - will assist in
organizing and planning MALT activities.
Communicating issues of importance to the
constituents of the collective.
These officers/directors will be elected at the annual March
meeting. The officers/directors will be responsible for the
corporations' direction and attainment of purpose as outlined in
Article II of these by-laws. By-laws may be created/changed and/or
deleted at any MALT meeting comprising 20 active members and
agreement is reached by a simple majority of those members present.
These by-laws are effective March 15, 1997.
Article V
1. A majority(3) vote will be required for all
decisions rendered by the governing
officers/directors.
2. A simple membership majority present at the
March election meeting will be used to select
the annual officers/directors of the
corporation.
3. Vacancies that occur within the governing body
will be filled by appointment and that
appointment will be made within two months by
the remaining corporate officers.
4. Meetings will be held on the third Saturday of
each month at 7:00 PM.
5. A simple membership majority present at the
monthly meetings will be used to approve all
matters presented to the full membership.
6. All candidates for corporate office must be a
current M.A.L.T. member.
